MGM Springfield Presents Updated Design to City

SPRINGFIELD — MGM Springfield announced it has presented updated renderings and new details of its design to the city of Springfield. The new drawings are the result of a complete site-plan review driven by several factors, including a one-year opening-date extension, final directives on historic property use, construction market trends, and in-depth conversations with Mayor Domenic Sarno and city officials. In a letter to the mayor, MGM executives hailed the new design as a better approach to immediately activating the Main Street corridor and spurring new economic development, while reconfirming September 2018 as the completion date. “I believe this is one of the most exciting moments in the history of MGM Springfield,” said Michael Mathis, MGM Springfield president. “As we collaborate with the city on what is best from an economic-development perspective, the finer details are taking shape, and our programming is improving minute by minute.” This more integrated urban design features off-site residential space, which opens up room for a Main Street hotel that would encourage tourists and visitors to more readily engage Springfield’s downtown. Conversations are underway with property owners of nearby potential residential sites that would complement the resort-casino development. As the final design evolves, the project will feature a new five-story hotel atop a floor of retail, creating an improved scale on Main Street. The 250-room hotel would now become the eastern anchor at Howard Street of the 14.5-acre development. “This design brings to life our commitment to develop new residential activity in downtown Springfield,” Mathis noted. “Through our extensive and detailed review, we determined off-site residential would more quickly encourage ancillary development across the downtown. We are currently talking to potential partners in developing market-rate residential units.” Under the revised design, the historic columned façade at 73 State St., which had been the iconic focal point for the hotel tower, will remain as such for the updated structure, which will be home to what is tentatively being called the South End Market. With floor-to-ceiling windows, the market will be an inviting, trendy gathering space featuring local and national food and beverage vendors. “We have never lost sight of how important it is to integrate our development and its unique design needs with this historic New England downtown,” Mathis said. “We think the changes along Main Street and this new layout are more in line with a true downtown mixed-use development that will make MGM Springfield the premier urban resort in the industry.”

EANE Releases Insurance & Benefits Survey

AGAWAM — The Employers Assoc. of the NorthEast announced its findings from the 2015 Insurance & Benefits Survey, conducted earlier this year, with 121 companies participating from Connecticut, Massachusetts, and Rhode Island. The survey posed more than 130 questions. It covered health insurance, including cost, coverage, eligibility, and employee cost sharing. It also addressed retirement plans, disability benefits, and voluntary benefits. The greatest change in the survey findings continues to be in health insurance. Employers will offer, or have introduced, methods to control costs, while attempting to comply with the Affordable Care Act. These methods include shifting deductible costs and co-share to employees by altering plan design. More specifically, the survey indicates the employers’ contribution towards an employee’s coverage option has decreased from 2013 levels. While monthly premiums illustrate minimal changes, the annual deductible per person and per family has increased. As a result, employers have reassessed their benefit packages, and long-term-care benefits are affected. “Everyone is looking at the bottom line, and controlling healthcare costs is often on the top of that list,” said Mark Adams, director of HR Solutions for EANE. “That said, employers want to remain attractive to new employees and preserve their benefit packages.”

Ad Club Announces Five Pynchon Award Winners

SPRINGFIELD — The Advertising Club of Western Massachusetts announced five recipients of the Order of William Pynchon Awards for 2015 — the 100th anniversary of the awards, which were first presented in 1915. This year’s honorees include Gary Bernice, band director at Springfield High School of Science and Technology; entrepreneur and philanthropist Harold Grinspoon; Sue Ellen Panitch, who has volunteered with dozens of organizations; and Ronn and Donna Johnson, who founded the Brianna Fund for Children with Physical Disabilities. The Pynchon Awards honor members of the community who have distinguished themselves through their service. The Advertising Club will fete this year’s honorees on Nov. 19 at the Springfield Museums. Tickets cost $65, and more information is available at www.adclubwm.org.

State Receives Grant for Apprenticeship Programs

BOSTON — The state’s Executive Office of Labor and Workforce Development was awarded a $2.9 million federal grant to expand apprenticeship opportunities in high-growth industries in Massachusetts. The American Apprenticeship Grant, awarded by the U.S. Department of Labor, will enable the state to help 300 residents gain apprenticeship training in industries with a growing demand for new employees, such as healthcare, technology, and advanced manufacturing. The funds will support the Massachusetts Apprenticeship Initiative (MAI) to increase the number of apprenticeship and pre-apprenticeship opportunities in those industries. There are more than 7,500 registered apprentices in the state in 2015. “As many employers in Massachusetts struggle to find the skilled labor to fill available jobs, this grant will enable training for individuals in high-demand industries and provide more job opportunities for the people of the Commonwealth,” Gov. Charlie Baker said. The U.S. Department of Labor awarded $175 million in American Apprenticeship Grants to 46 awardees across the nation to expand apprenticeships in high-growth industries. The Executive Office of Labor and Workforce Development will use the grant to build upon apprenticeship opportunities and address the skills gap for underserved residents. “Our team worked incredibly hard to be awarded one of these highly competitive grants,” said Labor and Workforce Development Secretary Ronald Walker, II, who chairs the Workforce Skills Cabinet. “These funds will help us in our mission to meet employers’ demands for highly skilled workers so they can continue to grow their businesses. Businesses cannot grow if they cannot find enough skilled workers.” Created by the governor through an executive order, the Workforce Skills Cabinet’s goal is to align education, economic- and workforce-development programs, and policies to increase opportunities for training and employment for residents while helping businesses meet their growth needs.

Project Manager Chosen for PVTA Bus Operations, Maintenance Facility

SPRINGFIELD — City Point Partners announced it has been selected by the Pioneer Valley Transit Authority (PVTA) to oversee the design and construction of the new Bus Operations and Maintenance Facility on Cottage Street in Springfield, replacing the existing, 100-year-old facility. The new, 280,000-square-foot, $70 million facility will be built on an 18-acre site and will provide bus maintenance and storage for the PVTA’s Springfield fixed-route operation. The facility will be able to accommodate approximately 150 fixed-route buses, including standard-size diesel buses and articulated buses. Included in this new facility will be management office space, fuel bays, wash bays, bus and van storage bays, garage and body-shop areas, parts storage, exercise rooms, locker rooms and showers, lounge, dispatch center, employee parking, and green spaces. A new cell tower will also be installed onsite to support the PVTA’s IT communications. The new facility will seek LEED certification under the U.S. Green Building Council’s green-building rating system. City Point Partners will provide owner’s project-management services advising with respect to the design, scope of work, cost estimating, construction manager-at-risk and subcontractor selection, schedule overview, and performance monitoring. With ridership expected to continue its steady increase and a number of high-profile development projects in the Springfield area scheduled to be completed within the next two to three years, the PVTA is planning for a greater expansion of service and consequently will require larger facilities to support this service expansion. “We are very excited to be working with City Point Partners on this critical project. A larger operations center is a vital part of supporting the expanded service that our ridership demands,” said Mary MacInnes, administrator of the Pioneer Valley Transit Authority. Added Colleen Moore, president and founder of City Point Partners, “this is a very exciting time for the PVTA. Both the public- and private-sector developments planned for the Springfield area will change the city of Springfield itself and the Pioneer Valley. We are confident that we will be able to help the PVTA meet the rising demand of their ridership, which will result from these developments and ultimately stimulate increased economic activity in the region. We are very happy to be working for the Pioneer Valley Transit Authority.” City Point Partners has a growing owner’s project-management practice with multiple projects across Massachusetts.

State Unemployment Rate Remains at 4.7% in August

BOSTON — The state’s total unemployment rate remained at 4.7% in August, the Executive Office of Labor and Workforce Development announced. The new preliminary job estimates from the Bureau of Labor Statistics indicate Massachusetts gained 7,200 jobs in August, marking the 12th consecutive month of job gains. Year to date, Massachusetts has added 56,500 jobs. Preliminary August estimates show the number of employed residents declined by 20,600 and the number of unemployed residents decreased by 2,500, reducing the labor force by 23,100. Over the year, the state’s seasonally adjusted unemployment rate fell 0.9% from 5.6% in August 2014. The August state unemployment rate remains lower than the national rate of 5.1% reported by the Bureau of Labor Statistics. “Massachusetts continues to add jobs that strengthen our economy, and the unemployment rate is holding steady, lower than the national average,” Labor and Workforce Development Secretary Ronald Walker II said.

Some people have a clear idea of how they want to live once they stop working. For many others, however, retirement is a step into the great unknown. The problem is, without a road map for turning your savings into a sustainable stream of income, it’s difficult to create the type of lifestyle you want for the future.

Planning for retirement is a lifelong process that should begin as soon as you start working and continue throughout your retirement years. Whether you are five years from retiring or 30, the following steps can help you achieve financial security for when the big day finally comes.

1. Practice Retirement

Like most people, you may spend years fantasizing about the day when you can finally stop working. But what will your retirement look like? Financial experts recommend that you think about what you want to do when you retire and then ‘practice’ some of it first.

For example, if you’d like to move to a warmer climate, try vacationing there several times to get a sense of what it might cost and how it feels not just in the winter, but in the heat of summer. Or, if you plan to watch your grandkids full time, take a week or two to do a test run. The goal is to try out your plans, determine whether you truly enjoy and can afford them, and make needed adjustments before you commit.

2. Match Your Expenses and Income

As you think about your lifestyle in retirement, your expenses will fall into two groups: essential expenses (your needs) and discretionary expenses (your wants). Within discretionary expenses, you also may have one-time expenditures, such as funding a grandchild’s education or adding a sunporch to your home. Whether you make a spreadsheet on your computer or simply list your expenses on a pad of paper, the goal is to create a retirement budget that captures as many anticipated costs as possible.

Next, consider the money you’ll have coming in. Typically, retirees draw from three categories of income in retirement: guaranteed sources of income (such as Social Security, pensions, and lifetime income annuities), savings and investments, and any employment income.

Once you know what you’re likely to have coming in, pair your income and expenses based on their priority, matching your needs with your guaranteed income sources first. If the predictable income you expect won’t cover all your essential expenses, you may want to either adjust your plans or consider converting a portion of your savings into a regular stream of income. Conversely, if you have a surplus, you can use the extra money to cover any discretionary expenses.

3. Decide Which Account to Tap First

One way to maximize the amount of money you may have in retirement is by planning the order in which you spend your different investment accounts. The starting point is to consider whether you plan to use your assets for ongoing expenses in retirement or to pass them along to your heirs or charities.

For many, it makes sense to draw from taxable accounts first in order to keep the assets in retirement accounts growing tax-deferred for as long as possible. Tax-exempt accounts, such as Roth IRAs, should be spent last. However, there is no rule of thumb when it comes to the order in which you should liquidate your assets.

If you plan to pass your assets along to your heirs or charities, you may want to spend tax-deferred assets with the intention of bequeathing taxable assets, which receive more favorable tax treatment when inherited.

The order in which you withdraw your retirement savings is an important decision that becomes even more complex once you reach age 70½. That’s when you must begin taking annual required minimum distributions from your IRAs and retirement plans.

Because each person’s situation is unique, you should include both your financial professional and tax advisor in these discussions.

4. Protect Your Savings

Consider putting enough money into a savings or liquid money-market account to cover your withdrawal needs for at least two years. This can help prevent taking money out of your investments when the market and share prices are trending downward.

If you haven’t already, consider funding a long-term-care (LTC) plan as well. LTC funding can help protect your retirement nest egg from the financial impact of the costs of extended care either at a facility or in your home.

5. Fine-tune Along the Way

Spending retirement assets can be even more complex than building them. Your retirement savings need to provide reliable income to meet your ongoing expenses for the rest of your life. Reviewing your plan annually and keeping it current is vital to making this happen.

Consider just some of the things that can change in a year: your marital or health status could change, your investment returns and inflation rate could fluctuate, and your employment status and expected retirement date might shift. Each of these can have a profound impact on the amount of money you may have to spend in retirement.

That’s why it’s important to work with a financial professional who understands that retirement planning is an ongoing process — someone who knows what it takes to accumulate assets for retirement, mitigate the risks that can affect your retirement years, and turn your funds into a distribution plan designed to generate sufficient income to meet your lifestyle needs for as long as you need it to.

AGAWAM — The Employers Assoc. of the NorthEast announced that Leesa Wallace has joined EANE as its new director of Learning & Development, and Kevin Matheny will serve as the new controller.

Wallace will spearhead the EANE learning and development offerings, designing and customizing a diverse array of more than 500 substantive training programs each year. She replaces Susan Miller, who served in the role of director of Learning & Development for more than 18 years.

Wallace is a learning strategist, guiding individuals, teams, and organizations to help them identify their most critical needs and create solutions that have real impact. She helps strengthen the capacity of individual contributors, creates clarity and collaboration on teams, and teaches leaders how to engage and tap into the potential of their people.

She worked in learning and development positions for more than 20 years in a variety of industries such as retail, manufacturing, nonprofit, and financial services. Her latest roles were in the financial-services sector for companies including Travelers Insurance, ING, and Liberty Bank.

Matheny has more than 15 years of progressive management experience across a broad range of business functions and industry segments including manufacturing, property management, financial services, and not-for-profit. He guides EANE with a combination of talent, technical knowledge, and business acumen in all reporting, operations, internal controls, and compliance areas. He replaces Paul Correia, who will assume full-time responsibility for membership as the new director of Member Relations.

With a focus on maximizing revenues via budgeting and other strategic initiatives, Matheny, a certified public accountant, is known for his ability to manage costs through improved efficiencies and the elimination of redundancies. Farmington Bank Opens First Branch in Western Mass.

WEST SPRINGFIELD — Farmington Bank is opening its first branch office in Western Mass. on Tuesday, Oct. 6, located at 85 Elm St. in West Springfield.

“Farmington Bank’s new office in West Springfield will offer a complete line of consumer and commercial banking products,” said John Patrick Jr., chairman, president, and CEO of Farmington Bank. “In addition, we look forward to partnering with the Western Massachusetts community through the philanthropic activities of the Farmington Bank Community Foundation and the volunteer efforts of our Farmington Bank employees.”

Farmington Bank’s West Springfield office preserves and revitalizes a landmark building on Elm Street, which was once occupied by the West Springfield Trust Co. The branch is now a modern, customer-friendly setting with approximately 1,560 square feet of open floor space, which allows personal bankers to interact with customers without teller lines. The branch offers a free coin-counting service and a 24-hour ATM in an adjacent vestibule.

The West Springfield facility is also the new home of Farmington Bank’s Commercial Services office, led by Michael Moriarty, senior vice president, commercial team leader, and regional executive, and its Western Mass. East of the River 5 Town Chamber Becomes Independent Organization

LONGMEADOW — The East of the River 5 Town Chamber of Commerce (ERC5) officially become an independent organization last month, following the merger of the Affiliated Chambers of Commerce of Greater Springfield and the Springfield Chamber of Commerce, now known as the Springfield Regional Chamber (SRC).

The leadership of the ERC5 decided that dissolving its board and sharing its financial resources with a Springfield-based organization was not in the best interest of its membership. Instead, the 24-person board voted unanimously to maintain its independence and continue as a business association serving the towns of Longmeadow, East Longmeadow, Wilbraham, Hampden, and Ludlow.

“When the ERC5 board met, all options were considered. In the end, it was clear that the businesses of our member towns needed and deserved direct representation,” said Dennis Lopata, ERC5 president.

The ERC5 will continue its long-standing partnerships with the Western Mass. Economic Development Council and the newly formed SRC. For instance, the ERC5 will maintain a position on the SRC board and continue its partnership with the SRC on its three large regional events: Operation Outlook, the Beacon Hill Summit, and Super 60. Additionally, the ERC5 will hold three seats on the SRC legislative committee and offer a regional discount to its membership for those who would like to enjoy memberships with both organizations.

“Our board has worked hard to strike a balance between independence and maintaining a partnership with the Springfield Regional Chamber,” said Lopata. “Although it’s important that our membership get direct representation in their respective towns, it’s also important that we continue to support efforts at the regional level. We believe our arrangement … does just that.”

Berkshire Bank Named Among Most Charitable Companies

PITTSFIELD — Berkshire Bank was named by the Boston Business Journal as one of Massachusetts’ Most Charitable Companies at the publication’s annual Corporate Citizenship Summit in Boston last month.

Each year, the magazine honors a select list of companies for their charitable work in the community. Berkshire Bank ranked 42nd for total financial contributions with more than $1.1 million donated in Massachusetts alone and more than $2 million donated overall. UMass President Praises Legislators for Funding Labor Contracts

BOSTON — UMass President Marty Meehan praised the Massachusetts House for approving funding for UMass labor contracts when it passed a supplemental budget this week.

“We appreciate the strong support that the University of Massachusetts continues to receive from the House of Representatives and commend Speaker Robert DeLeo, Ways and Means Committee Chairman Brian Dempsey, and all members of the House for making a critical difference for the university that makes a difference in the lives of so many of our citizens,” Meehan said.

The $360 million supplemental budget approved by the House includes $10.9 million in funding of labor contracts with faculty and staff working in the UMass system.

“This kind of support allows us to recruit and retain faculty members who are among the very best in their fields and who make us the world-class academic and research institution that the Commonwealth deserves and needs,” Meehan added.

The House action comes at a time when enrollment throughout the UMass system continues to rise, reaching a record 73,700, according to fall 2015 projections. Meanwhile, recent Thomson Reuters rankings place UMass as the 57th-most innovative university in the world, and the new World University Rankings rate UMass as the number-one public university in New England, the 24th-best public university in the U.S, and among the best universities in the world.

The $10.9 million approved by the House would fully fund the first year of three-year contracts, covering 6,500 faculty and staff across the UMass system, the terms of which were prescribed by the Patrick administration. The salary increases were to have gone into effect during the 2014-15 fiscal year, but were delayed until Meehan authorized their payment last month, saying he intended to seek offsetting funding in the budget bill pending before the Legislature. The supplemental budget containing the funding for the university now moves to the state Senate for consideration.

STCC Faculty Recognized, Awarded Deliso and Scibelli Endowed Chairs

SPRINGFIELD — Springfield Technical Community College (STCC) recently named Beth McGinnis-Cavanaugh the recipient of the Anthony M. Scibelli Endowed Chair and Gary Masciadrelli and Paul Thornton recipients of the Joseph J. Deliso Sr. Endowed Chairs.

Each year, STCC faculty are nominated for an endowed chair by their colleagues and then invited to apply. Applications are reviewed by an award-selection committee composed of faculty and staff. Winners are then selected by the STCC Foundation executive committee. The awards include a $3,000 grant given to each recipient, half of which is applied to professional development for the recipient and half of which is given to the recipient’s academic department.

The Anthony M. Scibelli Endowed Chair was established in 1992 to recognize and foster faculty excellence. McGinnis-Cavanaugh, professor of Physics and Civil Engineering, will donate her funds to STCC’s chapter of the Society of Women Engineers (SWE) to fund service projects and cover event costs. She is the faculty advisor to the chapter, which she created last year.

“I was honored to receive the award and be in such great company,” said McGinnis-Cavanaugh. “We are only one of a few community colleges in the country to have a Society for Women Engineers chapter. I believe the addition of a SWE chapter at STCC is very important in providing professional resources for female students majoring in engineering, engineering technologies, and related STEM fields.”

Established in 1993 by the family of industrialist Joseph J. Deliso Sr., the Deliso Endowed Chair is awarded annually by the STCC Foundation in recognition of excellence in teaching.

Masciadrelli, a professor and department chair in Mechanical Engineering Technology, will use the award funds to update software in his department to an industry standard product called PC-DMIS for coordinate-measuring machines.

“It is truly an honor receiving the Deliso Endowed Chair this year,” said Masciadrelli. “It is particularly satisfying when I reflect on the growth the Mechanical Engineering Technology department has experienced over these last few years. As I begin my 29th year, this award is the exclamation mark on the exciting and fascinating career I have enjoyed at STCC.”

Thornton, professor and tri-chair of Business Administration, said award funds will be used to purchase a new printer and flip charts for his department as well as a set of multi-walkers which will be used in team-building exercises with his students.

“It’s a great honor and big responsibility to help students transform their lives,” he said. “Teaching is the most challenging, and rewarding, career there is. I’m thrilled to be a recipient of the Joseph J. Deliso Endowed Chair this year.”

St. Germain Investment Management Announces New Hires

SPRINGFIELD — St. Germain Investment Management announced the hiring of Richard Bleser as vice president and portfolio manager, and Thaddeus Welch as portfolio manager.

Bleser manages investment portfolios, assists with trading, and performs analytical duties on both the fixed-income and equity sides. He brings experience and knowledge in fund analysis and portfolio management. He was previously the chief investment officer at Berkshire Bank in Pittsfield. While at Meridian Capital Partners Inc., he was responsible for macroeconomic, S&P 500, and hedge-fund analysis.

Prior to Meridian, Bleser was an equity analyst with Paradigm Capital Management Inc., where he generated long- and short-investment ideas in the small-cap specialty retail, leisure, and technology-distribution sectors. He began his career as a client analyst with Ayco Co., a Goldman Sachs Company.

Active within the community, he has been involved with nonprofits and is also a trustee for the Berkshire Housing [401(k)] Plan. He holds bachelor’s degrees in economics and business administration from the State University of New York at Albany.

He comes to the firm from Berkshire Bank in Pittsfield, where he managed portfolios in addition to providing analysis and research on market, corporate, and economic activities.

Prior to Berkshire Bank, Welch was an assistant portfolio manager and a member of the investment committee at Spinnaker Trust in Portland, Maine. He received his bachelor’s degree in economics from Bowdoin College. He has completed all three levels of the CFA (Chartered Financial Analyst) program.

Museums Seek Entries for Annual Gingerbread-house Competition

SPRINGFIELD — The Springfield Museums are inviting bakeries, schools, individual bakers, and young people to submit design plans for the annual gingerbread-house competition and exhibit. This year’s theme is “A Seussian Holiday,” with houses to be unveiled on Friday, Nov. 27 as part of the Museums’ “Holiday Happenings” event.

The gingerbread houses will be displayed against a backdrop of murals by artist John Simpson that celebrate the whimsical stories and characters created by Springfield native Theodor Geisel (a.k.a. Dr. Seuss).

Entry forms and design plans must be submitted by Friday, Nov. 13. Bakers who commit by the early-registration deadline (Friday, Oct. 23) will receive a free gift. Applications and guidelines may be obtained by downloading the form at springfieldmuseums.org, stopping by the museum Welcome Center, e-mailing [email protected], or calling (413) 263-6800, ext. 285.

Gingerbread displays may be based on favorite Dr. Seuss stories, historic locations, or other imaginative holiday designs. Entries will be accepted in the following contest divisions: professional division (bake shops, caterers, restaurants, or professional bakers); adult division (individuals or groups age 18 and up); and youth division (individuals or groups age 8-17; school and youth groups are welcome to apply).

Applicants will be notified about selection decisions by Monday, Nov. 16. Gingerbread houses that are not pre-registered will not be accepted. Completed gingerbread houses must be delivered to the Museums on Monday, Nov. 23 and will be on display through Sunday, Jan. 3.

Visitors on Nov. 27 will vote for their favorite gingerbread entry in each division, and prize awards will be presented later that day. Voting will continue for People’s Choice Awards until Jan. 3, and the final winners in each division will be posted on the Springfield Museums Facebook page.

Dakin Offers $5 Adoption Rate for Select Adult Cats on Oct. 3

SPRINGFIELD — Dakin Humane Society will reduce adoption fees to $5 for select adult cats six months or older this Saturday, Oct. 3, at both its Springfield and Leverett adoption centers from 12:30 to 5:30 p.m. The cats selected are those who have been waiting for adoption for several weeks.

According to Executive Director Leslie Harris, “as our busiest summer season winds to a close, we still have a large number of cats looking for their next families. We’re holding this adoption event to give these terrific adult cats some attention and opportunities to find new homes.”

Other animals available at Dakin include dogs, kittens, guinea pigs, rabbits, hamsters, ferrets, rats, and mice. A full listing of adoptable animals is available at www.dakinhumane.org.

Dakin Humane Society delivers services that improve the lives of animals in need and the people who care about them from its two locations in Springfield and Leverett. The organization shelters, treats, and fosters more than 20,000 animals each year and has performed more than 62,000 spay/neuter surgeries since 2009. Dakin is a local nonprofit organization that relies solely on contributions from individuals and businesses that care about animals to bring its services to the community.

NUVO Shareholders Approve Merger with Merchants

SPRINGFIELD — The shareholders of NUVO Bank & Trust Co. overwhelmingly voted this week to approve the merger agreement between NUVO and Merchants Bancshares Inc., the parent company of Merchants Bank, and the related bank-merger agreement between NUVO and Merchants Bank pursuant to which Merchants Bank will acquire NUVO.

The shareholders of NUVO approved the merger agreement by the affirmative vote of the holders of 84.5% of the outstanding shares of NUVO. Of the shares voted, approximately 97.6% of the shares were voted in favor of approval of the transaction.

Consummation of the merger, which is subject to regulatory approval and the satisfaction of the other conditions of the merger agreement, is expected to occur on or about Nov. 30.
Under the terms of the merger agreement, shareholders of NUVO will be entitled to receive either 0.2416 shares of Merchants common stock, $7.15 in cash, or a combination of Merchants common stock and cash for each share of NUVO common stock outstanding, subject to the allocation and proration provisions contained in the merger agreement, which will result in the total consideration being comprised of approximately 75% stock and 25% cash.

“We appreciate the support that our shareholders have shown for the merger by their overwhelming vote in favor of the transaction,” said Donald Chase, chairman of NUVO’s board of directors.

PeoplesBank Again Named a Top Corporate Charitable Contributor

HOLYOKE — PeoplesBank was honored by the Boston Business Journal with a “Top Corporate Charitable Contributor” award for the eighth time in a row. The bank was recognized along with other recipients at the publication’s annual Corporate Citizenship Summit on Sept. 17 at the Westin Waterfront hotel. The award was accepted by Janice Mazzallo, executive vice president and chief Human Resources officer, on behalf of the bank’s more than 260 associates.

“By highlighting those in industry who go above and beyond, the Boston Business Journal provides a benchmark for others to strive for, and a forum in which to have the discourse needed for all of us to continue improving,” said Gale Murray, the magazine’s publisher.

According to Susan Wilson, first vice president of Corporate Responsibility at PeoplesBank, “through our Community Care Program, we have contributed more than $6.5 million dollars in recent years to local nonprofit organizations that provide services to the residents of Hampden and Hampshire counties. Our bank associates are committed to the community through their own generosity as well.
